Service Availability: We strive to maintain 99.9% uptime for our website and customer portals. However, we reserve the right to: • Perform scheduled maintenance with advance notice • Suspend services temporarily for emergency maintenance • Modify or discontinue features with reasonable notice

Services are provided on an "as is" and "as available" basis.

To access certain features of our Services, you may need to create an account.

Payment Terms: • Payment is due at the time of purchase for templates • Custom projects require a 50% deposit to begin work • Final payment is due upon project completion or delivery • We accept major credit cards, PayPal, and bank transfers

Payment Processing: • Payments are processed securely through third-party processors • We do not store complete payment card information • All transactions are encrypted and PCI-DSS compliant • Currency conversion rates are determined by payment processors

Taxes: • Prices do not include applicable taxes unless stated • You are responsible for paying all applicable taxes • VAT is charged for EU customers where applicable • We will provide tax invoices upon request

Failed Payments: • We will notify you of any failed payment attempts • Services may be suspended for unpaid balances • Late payments may incur additional fees • We reserve the right to use collection services for unpaid debts

We offer a 30-day money-back guarantee on template purchases, subject to the following conditions:

Template Purchases: • Full refund available within 30 days of purchase • Refunds are processed within 5-10 business days • Refunds are issued to the original payment method • Heavily customized templates may not qualify for refund

Refund Eligibility: Refunds ARE available when: • Product does not match its description • Technical issues prevent template from functioning • Duplicate purchase was made by mistake • You request within the 30-day window

Refunds are NOT available when: • You simply changed your mind after 30 days • Template was significantly customized • You violated our license terms • You made prohibited modifications

Custom Design Projects: • Deposits are non-refundable once work begins • Milestone payments are refundable if milestone is not delivered • Full refund if project is cancelled before work begins • Partial refunds may be offered at our discretion

How to Request a Refund: Contact support@sitefyd.com with: • Your order number • Reason for refund request • Any relevant screenshots or documentation

We aim to process all refund requests within 48 hours.

Understanding intellectual property rights is crucial when using our Services.

Our Intellectual Property: SiteFyd owns all rights to: • Our website design, layout, and graphics • Our brand name, logo, and trademarks • Template designs and source code (license granted upon purchase) • Documentation, tutorials, and educational content • Proprietary tools, methods, and processes

Your License: Upon purchase of a template, you receive: • A perpetual, non-exclusive license to use the template • Rights to modify the template for your own use • Rights to use on a single website (unless multi-site license purchased) • No rights to resell, redistribute, or sublicense the template

Custom Project Ownership: For custom design projects: • You own the final deliverables upon full payment • We retain rights to use the work in our portfolio • Third-party components remain under their respective licenses • We retain ownership of any proprietary tools used

Your Content: You retain ownership of: • Content you provide for your website • Your logos, trademarks, and brand assets • Original text, images, and media you supply

By providing content, you grant us a license to use it for project completion.

Third-Party Content: • Stock photos and media are subject to their license terms • Fonts may require separate licensing for commercial use • Plugins and extensions have their own license requirements

You agree not to use our Services for any prohibited purpose.

Prohibited Activities: You may NOT use our Services to: • Violate any applicable laws or regulations • Infringe on intellectual property rights of others • Transmit malware, viruses, or harmful code • Engage in spam, phishing, or fraudulent activities • Harass, abuse, or harm other users • Impersonate any person or entity • Collect personal information without consent • Interfere with or disrupt our Services

Prohibited Content: You may NOT use our templates or services to create: • Adult or pornographic content • Hate speech or discriminatory content • Illegal products or services promotion • Gambling or betting sites (unless properly licensed) • Misleading or fraudulent schemes • Copyright-infringing content • Malware distribution sites • Phishing or scam websites

Template Restrictions: You may NOT: • Resell templates as standalone products • Include templates in template marketplaces • Claim templates as your own original work • Remove copyright notices or credits • Use templates for competing design services

Violation of these terms may result in immediate termination and legal action.

Additional terms apply to custom design and development projects.

Project Process: • Project scope is defined in a formal proposal or contract • Changes outside scope may incur additional fees • Timeline estimates are good-faith projections, not guarantees • Client delays may extend project timelines

Client Responsibilities: You agree to: • Provide all required content, assets, and feedback promptly • Designate a single point of contact for the project • Review and approve deliverables within agreed timeframes • Pay invoices according to the agreed schedule

Revision Policy: • Standard packages include a specified number of revision rounds • Additional revisions are billed at our hourly rate • Major scope changes may require a new proposal • Feedback should be consolidated to minimize revision rounds

Project Acceptance: • You have 7 days to report issues after delivery • Silence after 7 days constitutes acceptance • Payment in full constitutes acceptance of final deliverables • Bug fixes are provided free for 30 days after launch

Project Cancellation: • Cancellation before work begins: Full refund minus deposit • Cancellation during work: Prorated payment for work completed • Cancellation after delivery: No refund available

Source Files: • Source files are provided upon full payment (if included in package) • Some proprietary elements may not be provided as source • Third-party assets remain subject to their licenses

Limited Warranty: We warrant that: • Templates will function as described at time of purchase • Custom projects will be delivered according to specifications • We will provide reasonable support as described • Our Services will be provided with reasonable skill and care

Warranty Period: • Templates: 30 days from purchase for functionality issues • Custom projects: 30 days from launch for bug fixes • Support services: Duration of active subscription

Disclaimer of Warranties: TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to: • Implied warranties of merchantability • Fitness for a particular purpose • Non-infringement • Accuracy or reliability of any content • Uninterrupted or error-free operation

We do not warrant that: • Services will meet your specific requirements • Services will be uninterrupted, secure, or error-free • Results from using Services will be accurate or reliable • Any errors will be corrected

Third-Party Services: We are not responsible for third-party services, including: • Hosting providers • Domain registrars • Payment processors • Third-party plugins or integrations

This section limits our liability to you.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW:

SiteFyd and its directors, employees, partners, agents, suppliers, and affiliates shall NOT be liable for: • Any indirect, incidental, special, consequential, or punitive damages • Loss of profits, revenue, data, or business opportunities • Business interruption or loss of goodwill • Any damages arising from: - Use or inability to use our Services - Unauthorized access to your data - Third-party conduct or content - Any errors or omissions in content

Maximum Liability: Our total liability for any claims arising from these Terms or use of our Services shall not exceed: • For templates: The amount you paid for the template • For custom projects: The total project fee paid • For subscriptions: The fees paid in the prior 12 months • In any case: No more than $5,000 USD

Exceptions: These limitations do not apply to: • Liability that cannot be excluded by law • Death or personal injury caused by negligence • Fraud or fraudulent misrepresentation

Essential Terms: You acknowledge that these limitations are essential to the agreement and that we would not provide Services without them.

You agree to indemnify and hold harmless SiteFyd.

Your Indemnification Obligations: You agree to defend, indemnify, and hold harmless SiteFyd and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of our Services • Your violation of these Terms • Your violation of any third-party rights • Content you provide or create using our Services • Your violation of any applicable laws • Your fraudulent or negligent acts • Any unauthorized use of your account

Defense and Settlement: • We may assume exclusive defense of any claim • You will cooperate with our defense efforts • You will not settle any claim without our consent • We may participate in the defense at our expense

Notification: You must notify us promptly of any claims covered by this indemnification.

Survival: This indemnification obligation survives termination of your account and these Terms.

This section governs how disputes will be resolved.

Arbitration Agreement: If informal resolution fails, disputes shall be resolved through binding arbitration: • Arbitration will be conducted under AAA Commercial Arbitration Rules • Arbitration will take place in New York, NY, USA • The arbitrator's decision will be final and binding • Judgment may be entered in any court of competent jurisdiction

Arbitration Limitations: • Claims must be brought individually, not as class actions • Arbitrator may not consolidate claims or preside over class proceedings • This agreement does not prevent small claims court actions

Exceptions to Arbitration: Either party may seek: • Injunctive relief in court for intellectual property matters • Emergency equitable relief to preserve rights • Small claims court resolution for qualifying disputes

Governing Law: These Terms are governed by the laws of the State of New York, USA, without regard to conflict of law principles.

Jurisdiction: For matters not subject to arbitration, courts in New York County, NY shall have exclusive jurisdiction.

These general provisions apply to all aspects of these Terms.

Entire Agreement: These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and SiteFyd.

Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations freely.

No Agency: Nothing in these Terms creates any agency, partnership, or employment relationship.

Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.

Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, or government actions.

Notices: • We may send notices via email to your registered address • You may send notices to legal@sitefyd.com • Notices are effective upon receipt
